Terms of Service
Terms governing customer accounts, orders, billing, acceptable use and VPSRoom hosting services.
Last updated: September 20, 2026Introduction and acceptance
These Terms of Service form an agreement between you and VPSRoom Hosting LLC ("VPSRoom," "we," "us" or "our"). They apply when you access our website, create an account, submit an order or use any VPSRoom hosting, network or related service (each a "Service"). By doing so, you agree to these Terms and the policies incorporated by reference. If you act for an organization, you represent that you have authority to bind it.
VPSRoom Hosting LLC, 8401 Mayland Dr, Ste S, Richmond, Henrico County, VA 23294, USA.
Eligibility and account registration
You must be legally capable of entering this agreement and must provide accurate, current and complete registration information. You must keep account and contact information current. We may request reasonable information to verify identity, authority, payment or account ownership before accepting an order or making a sensitive account change.
Services and orders
Available Services, locations, configurations, billing cycles and charges are those presented in the applicable order flow or written offer. Submitting an order is an offer to purchase and does not require VPSRoom to accept it. We may accept, reject or hold an order based on payment status, fraud or security review, policy compliance, resource availability or technical availability.
Provisioning
Payment alone does not guarantee order acceptance or provisioning. Activation may depend on successful payment, order acceptance, any applicable fraud or security review, resource and technical availability, and compliance with these Terms and our policies. Provisioning estimates are not guarantees unless an applicable written service schedule expressly states otherwise.
Fees, billing and taxes
You must pay the fees and currency shown in the accepted order and invoice. You are responsible for taxes, duties or governmental charges applicable to your purchase, except taxes imposed on VPSRoom’s net income. A payment attempt is not complete until the applicable billing record confirms receipt. You must review invoices and promptly report a suspected billing error through the authenticated customer support flow.
Recurring billing and renewals
A Service with recurring billing may renew according to its selected billing cycle. You remain responsible for cancelling a Service you do not want to renew. To prevent the next renewal, a cancellation request must be submitted before the applicable due date.
Failed and overdue payments
If payment fails or an invoice remains unpaid, we may restrict, suspend or terminate the affected Service and may decline additional orders, subject to applicable law. Reinstatement may depend on payment, resource availability and technical feasibility. Suspension does not erase charges already incurred.
Cancellation and refunds
Cancellation and refund entitlement are separate. A timely cancellation prevents a future renewal under the preceding section; it does not automatically refund an already paid billing period, provisioned resources or consumed Services. These Terms do not create a general money-back guarantee, prorated refund right or automatic refund entitlement. Any refund expressly agreed for an order, or required by mandatory applicable law, remains unaffected.
Customer responsibilities
You are responsible for selecting appropriate Services and resources; administering and patching your systems; securing applications, accounts and credentials; controlling access; maintaining lawful content and activity; monitoring capacity; and maintaining backups and recovery procedures suitable for your needs. You must cooperate with reasonable security, abuse and troubleshooting requests.
Acceptable use
Your use of every Service is subject to the Acceptable Use Policy, which forms part of your obligations under these Terms. You are responsible for activity performed through your Services, applications, users and credentials.
Abuse and security incidents
You must promptly address suspected abuse or compromise associated with your Service. We may filter traffic, preserve relevant records, request remediation, isolate a resource or take other proportionate action reasonably necessary to investigate an incident, protect infrastructure and customers, or comply with binding legal obligations. Report suspected abuse to abuse@vpsroom.com.
IP addresses and network resources
IP addresses, routes and other network resources are assigned according to the applicable product, availability and network policy. Unless an accepted order expressly provides otherwise, an assignment is not a transfer of ownership and may change when reasonably necessary for technical, security, legal or operational reasons. You must not announce, transfer or use network resources beyond the authorization provided with the Service.
Software, operating systems and licensing
You are responsible for software and operating systems you select, install or supply, including configuration, updates, compatibility and all required licenses. Third-party software may be governed by separate terms. VPSRoom grants no third-party license rights beyond those included with an accepted order.
Backups
You are responsible for maintaining independent, current and tested backups appropriate to the value and change rate of your data. A backup or snapshot feature, where offered, reduces risk but does not replace a recovery plan. Unless an accepted order expressly states otherwise, we do not guarantee that any particular file, system state or data set can be restored.
Customer data and privacy
You retain responsibility for Customer Data and must have the rights and lawful basis necessary to store, transmit and otherwise process it through the Services. Our handling of personal information associated with the website, accounts and Services is described in the Privacy Policy.
Service availability and maintenance
Services may be affected by planned maintenance, emergency maintenance, security measures, external dependencies and other events. The Availability Policy explains our operational approach and exclusions. VPSRoom does not currently publish a contractual numerical uptime guarantee or service-credit entitlement.
DDoS protection
DDoS mitigation is a layered protective capability, not a guarantee that every attack will be detected or absorbed without degradation, filtering, isolation or interruption. Protection may vary by Service, location, attack characteristics and upstream conditions. Customers remain responsible for application security and resilient system design.
Suspension and termination
We may suspend, restrict or terminate a Service when reasonably necessary for non-payment, prohibited activity, a material breach, fraud or security risk, protection of the platform or other customers, or compliance with a binding legal obligation. Where circumstances reasonably permit, we may provide notice or an opportunity to remedy. Urgent threats may require immediate action. You remain responsible for charges incurred before termination.
Account and credential security
You must use appropriate security controls, keep credentials confidential and promptly report suspected compromise. You are responsible for activity authenticated through your account unless applicable law provides otherwise. Do not send passwords, private keys, recovery phrases or full payment credentials through ordinary support messages.
Third-party services
A Service may depend on or interoperate with third-party networks, software, payment services or infrastructure. Third-party products may have separate terms and are outside our control. We are not responsible for third-party acts or omissions except to the extent responsibility cannot lawfully be excluded.
Intellectual property
VPSRoom names, trademarks, website materials and platform software remain protected by applicable intellectual-property law. These Terms do not transfer ownership. You retain your rights in Customer Data and grant VPSRoom only the rights reasonably necessary to provide, secure and administer the Services and comply with law.
Changes to Services and Terms
We may modify Services for operational, technical, security, legal or business reasons. We may also update these Terms. Material changes will be communicated through an appropriate available channel and the updated date will identify the current version. Changes do not retroactively remove rights that cannot lawfully be waived.
Disclaimers and limitation of liability
To the maximum extent permitted by applicable law, Services are provided on an “as available” basis and without a guarantee of uninterrupted or error-free operation. To that same extent, VPSRoom is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, business opportunity or data, arising from the Services. Nothing in these Terms excludes or limits liability or remedies that cannot lawfully be excluded or limited.
Indemnification
To the extent permitted by applicable law, you will defend, indemnify and hold harmless VPSRoom and its personnel from third-party claims, losses and reasonable costs arising from your Customer Data, your unlawful or prohibited use of a Service, or your material breach of these Terms, except to the extent caused by VPSRoom’s own breach or wrongful conduct.
Force majeure
Neither party is responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, widespread network or utility failures, war, civil disorder, governmental action, labor disruption or failure of external systems, except for payment obligations already due and to the extent applicable law requires otherwise.
Notices
Operational or contractual notices may be delivered through the customer account, service interface, invoice, or current contact details on file. You must keep those details current. Formal notices to VPSRoom may be sent to the company address stated above. Privacy and abuse matters should use the contacts identified in the applicable policy.
Governing law
These Terms and the contractual relationship with VPSRoom Hosting LLC are generally governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict-of-laws principles. This choice does not displace mandatory or non-waivable law that applies to you, a particular Service or the jurisdiction in which infrastructure is operated. The physical location of infrastructure does not by itself change the governing law of the entire customer agreement.
Dispute venue
Where legally permitted, disputes arising from these Terms or the Services will be brought in an appropriate state or federal court in Virginia, United States, and each party submits to that court’s jurisdiction. This provision does not prevent a customer from bringing or defending proceedings in another competent jurisdiction where a non-waivable right under mandatory applicable law requires or permits that forum.
Mandatory local law and infrastructure compliance
You must comply with laws and regulations applicable to your use of the Services. VPSRoom may take action reasonably necessary to comply with binding legal or regulatory obligations applicable to infrastructure or Services operated in a particular jurisdiction. Such action does not, by itself, change the general governing-law provision above.
